Terms and Conditions

1. Acceptance of Terms

By accessing or using the Terra International Portal (“Portal”), you agree to be bound by these Terms & Conditions (“Terms”). If you do not agree, you must discontinue use immediately. Continued use constitutes acceptance of all updates and revisions.

2. Definitions

Company refers to Terra International and its subsidiaries.

User refers to any individual or entity accessing the Portal.

Portal refers to the online platform, tools, and services provided by Terra International.

Content refers to all data, documents, materials, and information displayed or uploaded.

3. Eligibility

You must be at least 18 years old and legally capable of entering into binding agreements. If accessing on behalf of a business, you represent that you have authority to bind that entity.

4. User Accounts & Security

Unauthorized access, account sharing, or attempts to bypass security measures are strictly prohibited. Terra International may suspend or terminate accounts for violations or suspicious activity.

5. Permitted Use

Users may access the Portal solely for legitimate business purposes related to Terra International, including, prior written authorization from Terra International. Unauthorized disclosure of pricing constitutes a material breach of these Terms. Misuse-including scraping, reverse engineering, automated bots, or interference with system integrity-is prohibited.

6. Prohibited Conduct

Users may not:

Upload malicious code or harmful files
Attempt unauthorized access to servers or data
Use the Portal for fraudulent, unlawful, or abusive activity
Impersonate any person or entity
Upload content that violates any laws or rights

7. Confidentiality

Users agree not to disclose confidential information obtained through the Portal, including internal documents, proprietary business data, or operational materials.

Pricing Confidentiality

All pricing, quotes, fees, and cost information displayed within the Portal are considered confidential and are provided solely for the User’s internal business use. Users may not disclose, distribute, publish, or share any pricing information with third parties.

8. Orders, Transactions & Records

Post-Order Pricing Adjustments & Authorization Requirement

Prices displayed within the Portal are estimates and may be subject to adjustment after an order is submitted. If Terra International determines that pricing must be updated due to market conditions, supplier changes, freight fluctuations, or other operational factors, the Company will notify the User of the revised pricing via email. No order containing adjusted pricing will be processed or fulfilled until the User provides written authorization confirming acceptance of the updated charges. Failure to provide such authorization may result in cancellation of the order.

Shipping Quotes & Additional Charges

If shipping rates, freight charges, or special handling fees apply to an order, Terra International will provide a shipping quote prior to finalizing the transaction. Shipping costs may vary based on carrier rates, fuel surcharges, delivery location, pallet configuration, or other logistical considerations. Terra International will contact the User directly with any applicable shipping quotes or adjustments, and orders will not be processed until the User confirms acceptance of the quoted charges.

Binding Submissions

Any orders, submissions, or approvals made through the Portal are legally binding. Users are responsible for verifying accuracy before submission. Terra International reserves the right to reject, modify, or cancel orders due to errors, compliance issues, or operational constraints.

9. Returns, RMAs & Restocking Fees

Standard Returns

All returns are subject to approval by Terra International. Authorized returns will incur a 15% restocking fee, applied to the total value of the returned goods. Returned items must be in unused, resalable condition and accompanied by original packaging. Shipping costs for returns are the responsibility of the User unless otherwise agreed in writing. Any “special order,” shipments will also be subject to a 15% restocking fee, if the order is not finalized and processed as approved prior to the order of the “special,” item.

Approved RMAs - Restocking Fee Exemption

Approved Return Merchandise Authorizations (“RMAs”) issued by Terra International will not incur the standard 15% restocking fee. RMAs must be formally approved in writing prior to the return of any goods. Only RMAs that meet all eligibility requirements and are authorized through the proper review process qualify for this exemption. Terra International reserves the right to deny RMA requests that do not meet these criteria.

10. Disclaimers

The Portal is provided as “as-is” and “as-available.” Terra International disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

11. Indemnification

Users agree to indemnify and hold Terra International harmless from claims arising out of misuse of the Portal, violation of these Terms, uploaded content, or unauthorized access.

12. Modifications to Terms

The Company may update these Terms at any time. Continued use after changes constitutes acceptance of the revised Terms.

13. Governing Law

These Terms are governed by the laws of the State of California. Any disputes shall be resolved in courts located in Santa Clara County.
